The terms governing access to and use of the Waaqi platform and related services.

These Terms of Service ("Terms") govern access to and use of the Waaqi platform, website (waaqi.ai), and related services (the "Services") provided by Waaqi ("Waaqi", "we", "our"). By accessing or using the Services, you agree to these Terms on behalf of yourself and the organization you represent ("Customer").
If a separate written agreement (e.g., Master Services Agreement or Order Form) exists between Waaqi and Customer, that agreement controls in case of conflict.
Access requires an authorized account. Customer is responsible for maintaining the confidentiality of credentials, configuring user roles, and for all activity occurring under its tenant.
Each user must be a uniquely identifiable individual. Sharing credentials is not permitted.
Use of the Services is subject to the subscription plan and fees set out in the applicable Order Form. Fees are non-refundable except as expressly stated. Waaqi may suspend access for non-payment after reasonable notice.
Customer will not: (a) reverse engineer, copy, or resell the Services; (b) upload unlawful, infringing, or malicious content; (c) attempt to gain unauthorized access to Waaqi systems or other tenants; (d) use the Services to build a competing product; or (e) interfere with the integrity, performance, or security of the Services.
Customer retains all rights to data, documents, evidence, and other content uploaded to the platform ("Customer Content"). Customer grants Waaqi a limited license to host, process, and display Customer Content solely to provide the Services.
Customer is responsible for the accuracy, legality, and right to use Customer Content.
The Services include AI-assisted capabilities such as control mapping, gap analysis, and reporting suggestions. AI outputs are intended to support compliance professionals and must be reviewed by qualified personnel before reliance. Waaqi does not warrant that AI outputs are complete, accurate, or sufficient to satisfy any specific regulatory obligation.
Customer Content is not used to train foundation models.
Waaqi and its licensors retain all rights, title, and interest in the platform, software, models, documentation, and any improvements. No rights are granted except as expressly stated in these Terms.
Each party will protect the other party's confidential information using at least reasonable care and use it only to perform under these Terms. Customer Content is treated as Customer's confidential information.
Waaqi maintains administrative, technical, and physical safeguards aligned with ISO 27001, SOC 2, and applicable regional standards. Processing of personal data is described in our Privacy Policy and, where applicable, a Data Processing Addendum.
Waaqi will use commercially reasonable efforts to make the Services available consistent with the applicable service level commitments. Scheduled maintenance, force majeure, and Customer-side issues are excluded from availability calculations.
Waaqi warrants that the Services will materially conform to their documentation. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WAAQI DOES NOT GUARANTEE ANY SPECIFIC COMPLIANCE, AUDIT, OR CERTIFICATION OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. WAAQI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Each party will defend the other against third-party claims arising from its breach of these Terms, subject to prompt notice, sole control of defense, and reasonable cooperation.
These Terms continue while Customer has an active subscription. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, Customer's access ends and Customer may export its data within a reasonable transition window as set out in the Order Form.
These Terms are governed by the laws specified in the applicable Order Form. Disputes will be resolved in the courts or arbitration forum set out therein.
Waaqi may update these Terms from time to time. Material changes will be communicated via the platform or to account administrators. Continued use of the Services constitutes acceptance.
